Terms of Service
These Website Terms of Use ("Terms") govern your access to and use of websites and online resources operated by or on behalf of Asc3nd Technologies Group, LLC ("Asc3nd," "we," "us," or "our"), including asc3ndtech.com (collectively, the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. Website Purpose and No Contractual Commitment
The Website provides information concerning Asc3nd, its capabilities, technologies, products, services, business relationships, employment opportunities, and other activities. Unless expressly stated in a separate written agreement executed by an authorized Asc3nd representative, Website content does not constitute an offer, contractual commitment, warranty, proposal, quotation, statement of work, service level, technical specification, or guarantee. A separately executed agreement controls over these Terms with respect to its subject matter.
2. Intellectual Property and Limited Use
The Website and its text, graphics, images, video, software, code, interfaces, designs, documentation, methodologies, processes, architectures, models, algorithms, technical materials, trademarks, logos, names, slogans, and other content (collectively, 'Content') are owned by, licensed to, or lawfully used by Asc3nd and are protected by applicable law.
Asc3nd grants you a limited, revocable, non-exclusive, non-transferable right to access publicly available portions of the Website for legitimate informational and business purposes. No other license or intellectual-property right is granted. Except as permitted by law or expressly authorized in writing, you may not reproduce, modify, distribute, commercialize, license, sell, create derivative works from, or otherwise exploit the Website or Content.
3. Prohibited Uses, Security, and AI
You may not use the Website or Content to violate law, infringe rights, compromise security, interfere with operations, or exceed authorized access. Without Asc3nd's prior written authorization, you may not:
- Access or attempt to access non-public systems, accounts, networks, databases, APIs, applications, or information.
- Bypass access controls or security measures; introduce malicious code; disrupt the Website; or conduct penetration testing, vulnerability scanning, credential testing, or other security testing.
- Scrape, crawl, harvest, systematically extract, or collect Website Content or data using automated tools except for ordinary search-engine indexing consistent with Asc3nd's technical directives.
- Reverse engineer, decompile, disassemble, decode, derive source code from, or attempt to discover underlying architecture, algorithms, models, methods, logic, techniques, or trade secrets of technology made available or demonstrated through the Website.
- Use the Website or Content to train, fine-tune, ground, validate, benchmark, or improve an artificial-intelligence or machine-learning model; create or augment a dataset, vector database, knowledge base, or retrieval system; or develop a competing product, service, model, dataset, or technology.
- Impersonate Asc3nd or another person, misrepresent affiliation or authority, harvest contact information, remove proprietary notices, or frame or mirror the Website.
Asc3nd may restrict or terminate access where it reasonably believes use violates these Terms, creates a security or operational risk, or may violate law. Suspected vulnerabilities should be reported to legal@asc3ndtech.com and may not be exploited or publicly disclosed without authorization.
4. Government, Defense, Export-Controlled, and Restricted Information
The public Website is not an authorized environment for transmitting classified information, Controlled Unclassified Information (CUI), export-controlled technical data, government-sensitive information, security credentials, customer-restricted information, proprietary source code, or other information requiring specialized handling. Such information may be transmitted only through an Asc3nd-authorized method.
Use of the Website and Content is subject to applicable export-control, sanctions, and trade laws. Nothing on the Website authorizes the export, reexport, release, or transfer of controlled technology, software, technical data, or information.
5. Government Contracting and Third-Party Products
References to government agencies, programs, customers, contract vehicles, certifications, partnerships, past performance, OEMs, resellers, technology partners, products, or services are for general informational purposes. Website Content does not modify a solicitation, contract, subcontract, teaming agreement, task order, purchase order, license, warranty, or other governing instrument; guarantee award, funding, pricing, eligibility, availability, performance, or government acceptance; or constitute government or third-party endorsement.
Product demonstrations, prototypes, screenshots, roadmaps, anticipated functionality, and similar materials may concern capabilities under development, subject to configuration, dependent on third parties, or not generally available. Binding commitments must be contained in an applicable written agreement executed by authorized parties.
6. Submissions and Feedback
You represent that you have the right to provide any information or materials you submit through the Website and that doing so does not violate another person's rights or any legal, contractual, confidentiality, security, or regulatory obligation. Do not submit confidential inventions, trade secrets, proprietary technical designs, or restricted information through the public Website unless Asc3nd has expressly agreed in writing to receive them confidentially.
Unless governed by Asc3nd's Privacy Policy or a separate written confidentiality obligation, unsolicited submissions do not create a confidential, fiduciary, attorney-client, or other special relationship. Voluntary feedback concerning Asc3nd's Website, products, services, or technologies may be used by Asc3nd without restriction or compensation to the extent permitted by law.
7. Privacy and Third-Party Services
Asc3nd's Privacy Policy governs its collection and processing of personal information through the Website and is incorporated into these Terms. The Website may contain links to or integrations with third-party services. Asc3nd does not control and is not responsible for third-party content, availability, privacy, security, products, services, or terms.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." Asc3nd DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. Asc3nd DOES NOT WARRANT THAT THE WEBSITE OR CONTENT WILL BE COMPLETE, CURRENT, ACCURATE, UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
Website Content is general information and does not constitute legal, cybersecurity, compliance, financial, accounting, engineering, procurement, government-contracting, or other professional advice, and use of the Website does not create an attorney-client, fiduciary, or other professional relationship.
9. Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Asc3nd AND ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING FROM OR RELATING TO THE WEBSITE, CONTENT, OR THESE TERMS. Asc3nd'S AGGREGATE LIABILITY ARISING FROM USE OF THE PUBLIC WEBSITE WILL NOT EXCEED US $100, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Asc3nd and its affiliates and representatives from third-party claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from your unlawful or unauthorized use of the Website, material violation of these Terms, infringement of third-party rights, or malicious or fraudulent conduct affecting the Website or Asc3nd systems.
10. Enforcement; Maryland Law and Venue
Asc3nd may seek injunctive or other equitable relief for unauthorized access, security violations, or misuse of its intellectual property, proprietary technology, or confidential information, in addition to other available remedies.
These Terms and disputes arising from them or the Website are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles. Subject to applicable law, any legal action shall be brought exclusively in a state court of competent jurisdiction located in the Maryland county in which Asc3nd maintains its principal headquarters, or in the United States District Court for the District of Maryland, as applicable. Each party submits to the jurisdiction and venue of those courts.
11. Changes; Severability; No Waiver
Asc3nd may modify the Website or these Terms at any time. Revised Terms will be posted with an updated date. If any provision is held unenforceable, the remaining provisions will remain in effect. Asc3nd's failure to enforce a provision is not a waiver of its rights. These Terms do not supersede a separately executed written agreement between Asc3nd and you or your organization.
